1. Acceptance of Terms

By accessing or using UmpireDuty (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform. These Terms constitute a legally binding agreement between you and UmpireDuty ("we", "us", or "our").

These Terms apply to all users of the Platform, including visitors, registered members (players and clubs), and umpires.


2. Description of Services

UmpireDuty is an online marketplace that connects clubs and individual players ("Members") with professional sports umpires ("Umpires") for the purpose of scheduling and confirming officiating bookings.

UmpireDuty provides the Platform as a neutral intermediary. We do not employ umpires, guarantee the quality of officiating services, or process payments between parties. All booking arrangements are made directly between Members and Umpires through the Platform.


3. Eligibility

You must be at least 18 years of age to create an account and use the Platform. By using the Platform, you represent and warrant that you meet this requirement and that all information you provide is accurate, current, and complete.

Use of the Platform is void where prohibited by applicable law.


4. Account Registration

To access most features of the Platform you must create an account. You agree to:

  • Provide accurate, truthful, and complete registration information.
  • Keep your account credentials secure and confidential.
  • Notify us immediately at hello@umpireduty.com if you suspect any unauthorised access to your account.
  • Take responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.


5. User Roles

Members (Players & Clubs)

Members use the Platform to search for and book umpires. Members are responsible for providing accurate booking details including venue, date, time, sport, and league. Members agree to treat umpires with respect and to honour confirmed bookings.

Umpires

Umpires list their availability and accept booking requests via the Platform. By registering as an umpire you represent that you hold the qualifications, certifications, and any licences required by your applicable governing sporting body. UmpireDuty does not independently verify umpire credentials and is not liable for misrepresentation. Umpires agree to fulfil confirmed bookings and to uphold the Umpire Code of Conduct.

Admins

Admins are appointed by UmpireDuty and manage reference data (countries, states, sports, leagues) and platform oversight. Admins are bound by separate internal policies in addition to these Terms.


6. Booking Rules

When a Member submits a booking request and an Umpire confirms it, both parties enter into a direct arrangement. UmpireDuty is not a party to that arrangement.

  • Cancellations: Either party may cancel a booking through the Platform. Cancellations should be made as early as possible out of courtesy to the other party.
  • No-shows: Repeated no-shows by either party may result in account suspension.
  • Disputes: Booking disputes are between the Member and Umpire. UmpireDuty may assist in mediation but is not obligated to do so.
  • No payments: The Platform does not currently process payments. Any financial arrangements are made independently between parties.

7. Prohibited Conduct

You agree not to:

  • Create fake, duplicate, or misleading accounts.
  • Misrepresent your identity, qualifications, or affiliation.
  • Post or transmit content that is defamatory, harassing, obscene, or unlawful.
  • Use the Platform to send unsolicited commercial communications (spam).
  • Attempt to reverse-engineer, scrape, or otherwise extract data from the Platform.
  • Interfere with or disrupt the Platform's infrastructure or security.
  • Use the Platform for any purpose that violates applicable law.

Violations may result in immediate account suspension or termination, and may be referred to law enforcement where appropriate.


8. Intellectual Property

The Platform, including its design, code, text, graphics, and branding, is owned by UmpireDuty and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works without our express written permission.

By submitting content to the Platform (e.g. profile information, reviews), you grant UmpireDuty a non-exclusive, royalty-free, worldwide licence to use, display, and distribute that content in connection with operating the Platform.


9. Third-Party Services

The Platform uses Firebase (Google LLC) for authentication, database, and hosting services. Your use of the Platform is also subject to Google's Terms of Service and Privacy Policy. We are not responsible for third-party services and their terms may change independently of ours.


10. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.


11. Limitation of Liability

To the maximum extent permitted by applicable law, UmpireDuty and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, or injury arising out of or in connection with your use of the Platform.

Our total aggregate liability to you for any claims arising under these Terms shall not exceed USD $100 (one hundred US dollars) or INR 8,000 (eight thousand Indian rupees), whichever is applicable in your jurisdiction.


12. Indemnification

You agree to indemnify, defend, and hold harmless UmpireDuty and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of your use of the Platform, your violation of these Terms, or your violation of any rights of another person or entity.


13. Governing Law

These Terms are governed by the laws of the jurisdiction in which you are located, as follows:

United States

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law provisions. You consent to the exclusive personal jurisdiction of the federal and state courts located in Delaware for any dispute not subject to arbitration.

India

These Terms are governed by the laws of India, including the Information Technology Act, 2000, the Consumer Protection Act, 2019, and the Digital Personal Data Protection Act, 2023. Any dispute shall be subject to the exclusive jurisdiction of courts located in Bengaluru, Karnataka, India.


14. Dispute Resolution

United States โ€” Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. You waive any right to participate in a class action lawsuit or class-wide arbitration. Nothing in this section prevents either party from seeking injunctive relief in court for intellectual property infringement or misappropriation.

India โ€” Arbitration

Disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996 (as amended). The seat of arbitration shall be Bengaluru, Karnataka. The arbitration shall be conducted in English by a sole arbitrator mutually appointed by the parties.


15. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a prominent notice on the Platform at least 30 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
